About PrompTax
PrompTax is a UK-based software platform that helps accountancy professionals calculate Capital Gains Tax for their clients. During the beta programme, you get access to:
AI-powered extraction of trade data from broker statements (PDFs and CSVs)
Automatic CGT calculation using HMRC matching rules (Same Day, 30 Day, Section 104)
Section 104 pool tracking and management
SA108 data generation for Self Assessment
Multi-currency support with automatic GBP conversion
We’re building this to make CGT calculations faster and more reliable for accountants. You’re among our first users, and your feedback directly shapes what we build next.
1. Who These Terms Are For
These terms are a contract between PrompTax Ltd (company number 16908139, registered office at 6 Marlborough Drive, Sandbach, CW11 1SP) and you, the accountancy professional or firm using our platform.
By creating an account and accepting these terms, you confirm that you are acting in the course of your business as an accountancy professional (not as an individual consumer). The Consumer Rights Act 2015 does not apply to this agreement. These terms are governed by the laws of England and Wales.
For the purposes of these terms, “you” and “your firm” means the accountancy practice or limited company that has entered into this agreement, including any individuals within that practice who are authorised by you to access PrompTax using your account credentials.
2. What You Should Know About Beta
This is beta software. We’re still testing and improving PrompTax. While we work hard to make it accurate, you may encounter bugs, unexpected behaviour, or incomplete features. We fix issues as quickly as we can.
We provide the service with reasonable care and skill (as required by the Supply of Goods and Services Act 1982), but given the complexity of tax rules and the nature of AI-based extraction, we cannot guarantee that every calculation will be correct in every scenario. Edge cases exist, tax law changes, and AI extraction can make mistakes.
You should verify the output. As the accountant, you know your clients and their circumstances. We expect you to review PrompTax’s calculations before relying on them for client work or HMRC filings, just as you would with any software tool. We’ve built a verification interface to help you do this efficiently.
We’re a software tool, not advisors. We don’t provide tax, legal, or accounting advice. PrompTax does calculations based on the data you input and the rules we’ve programmed. Your professional responsibilities and regulatory obligations remain entirely yours.
Things might change during beta. We may need to make breaking changes, update how features work, or temporarily take things offline for maintenance. We’ll try to give you reasonable notice, but sometimes we need to move quickly.
3. The Deal
Platform Access
Access to the PrompTax platform during the beta period is provided free of charge. This includes: account access, manual trade entry, the CGT calculation engine, Section 104 pool tracking, verification tools, SA108 data generation, report generation, and all other platform features. You are not required to pay a subscription fee during the beta programme.
When we introduce subscription pricing after the beta period, we'll give you at least 30 days' written notice and you'll have the option to accept the new terms or stop using the service.
Beta Credit for AI Extraction
Free extraction credit during beta. Each beta user receives ÂŁ50 of free AI extraction credit to use during the beta programme. This credit is provided to help you test the platform's AI extraction capabilities without upfront cost. The credit is consumed each time you process a document (PDF or CSV) using AI extraction. Manual trade entry remains free and unlimited.
Cost transparency. Typical document extraction costs range from £0.11 to £0.16 per page for PDFs (depending on data density and complexity) and £0.05 to £0.10 per 50 lines for CSV files. You can view your real-time credit usage, remaining balance, and detailed cost breakdown for each extraction at any time via your dashboard (Dashboard → Beta Credit Details).
What happens when credit is exhausted. When your ÂŁ50 beta credit is fully used, AI extraction will be paused and you'll see a notification on the upload page. All other platform features remain fully available (manual trade entry, calculations, reports, SA108 generation). To continue using AI extraction, contact us at james@promptax.uk to discuss next steps, which may include additional credit, transition to a paid plan, or other arrangements.
Credit adjustments and refunds. If an extraction fails due to a technical error on our part (not user error such as uploading an unsuitable file), you may request a refund of the credit consumed by contacting support. Refunds are granted at our discretion and are not available for user mistakes (wrong file uploaded, non-brokerage documents, corrupted files) or for preview/test uploads. We recommend using sample data for testing before uploading client documents.
Fair use. The ÂŁ50 beta credit is intended for legitimate tax preparation use by accountancy professionals. Abuse of the system (repeatedly uploading unsuitable documents, using the service for non-tax purposes, or other misuse) may result in account suspension.
Transition to paid model. This free credit system is temporary and applies during the beta programme only (expected duration: 3-6 months). When we transition to a paid model after beta, we will provide at least 30 days' written notice and you'll be able to choose between a subscription plan or a prepaid wallet system (detailed below).
AI Extraction Costs (Post-Beta)
The following applies after the beta period ends and paid plans are introduced:
AI-powered document extraction uses third-party AI services (Anthropic and Google) that incur per-use costs. These costs are passed through to you at cost — we do not add a margin. You are never required to use AI extraction; manual trade entry is always available at no cost and provides the same calculation capabilities.
How costs work. When you submit a document for AI extraction, the AI provider charges based on the volume of data processed, measured in tokens (a standard unit used by AI providers). The exact cost of an extraction is not known in advance — it depends on the number of pages, the density of content on each page, and the AI provider used. After each extraction, PrompTax provides a full cost breakdown showing the exact number of input and output tokens, the per-million-token rate applied, and the total cost. This information is available in your extraction history at all times.
Extraction Credit Wallet. To use AI extraction, you must maintain a positive balance in your Extraction Credit Wallet. You can add credit to your wallet at any time via Stripe (minimum top-up: ÂŁ10). Credit is deducted automatically each time you run an AI extraction. You can view your current balance, transaction history, and a detailed cost breakdown for each extraction within PrompTax.
Indicative costs. As a guide, a typical 5-page broker statement costs approximately ÂŁ1 to ÂŁ2 to extract using AI, depending on the complexity and density of the document. Densely packed pages with many transactions will cost more than sparse pages. CSV files are generally cheaper to extract than PDFs. PrompTax uses token caching where possible to reduce costs.
Reducing your extraction costs. You can keep costs down by: uploading CSV files from your broker where available (these are cheaper to extract and also improve extraction accuracy); selecting only the relevant pages from a PDF document (the pages containing trade data) rather than uploading the entire statement; and using manual trade entry for small numbers of trades. PrompTax will intelligently skip pages that contain no trade data, but each page must still be processed to make that determination.
What happens if your balance runs out. If your wallet balance reaches zero, AI extraction will be paused until you top up. All other platform features remain fully available, including manual trade entry, calculations, reports, and SA108 generation. You will be notified when your balance falls below ÂŁ2 so you can top up before it runs out.
Rate changes. AI provider pricing may change from time to time. We always apply the current published rates from the relevant provider at the time of extraction. If rates change significantly, we’ll notify you. You can check current rates at any time within PrompTax.
Refunds and unused credit. Wallet credit is non-refundable except where required by law, or if we terminate the beta programme. If the beta programme ends or you close your account, any remaining credit balance above ÂŁ5 will be refunded to your original payment method within 30 days.
Ending the Beta
Either of us can end this at any time. If you want to stop using PrompTax, just let us know. If we need to end the beta programme or your access, we’ll give you at least 14 days’ written notice unless there’s an urgent reason we can’t (such as a security incident or a serious breach of these terms).
If things end, you can get your data. If the beta ends or you leave, we’ll give you at least 30 days to export your data. After that period, we’ll delete your client data in accordance with our Data Processing Agreement. Any licence granted to you under these terms to reference previously generated reports shall survive termination solely for the purpose of supporting tax filings already submitted.
4. Acceptable Use
You agree to use PrompTax responsibly. In particular, you agree not to:
Upload fraudulent or deliberately manipulated documents
Share your account credentials with anyone outside your firm
Attempt to reverse engineer, decompile, or extract the source code of our software
Use automated tools to scrape or extract data from the service
Attempt to gain unauthorised access to our systems
Use the service for any purpose that is illegal under the laws of England and Wales
If we become aware of a serious breach of these rules, we may suspend your access immediately and will contact you to discuss.
5. Intellectual Property
Our IP. All intellectual property rights in PrompTax (including the software, algorithms, methodology, documentation, user interface, and branding) belong to PrompTax Ltd and were developed solely by the founder prior to and independently of any beta engagement. We grant you a limited, non-exclusive, non-transferable licence to use PrompTax for your professional accountancy practice during the beta period.
Your data remains yours. We don’t claim any ownership over the data you upload or the reports we generate for you.
5A. Feedback, Ideas, and Suggestions
We value your input during the beta programme. To be clear about how feedback is handled:
Assignment of IP in feedback. Any feedback, suggestions, ideas, feature requests, bug reports, or other input you provide about PrompTax (collectively, “Feedback”) is hereby irrevocably assigned to PrompTax Ltd. This assignment is made under section 90 of the Copyright, Designs and Patents Act 1988 and includes assignment of future copyright under section 91. You agree to execute any further documents reasonably necessary to perfect this assignment.
No claims of contribution. You acknowledge that PrompTax was conceived, designed, and developed solely by its founder before your involvement as a beta user. Your use of PrompTax and provision of Feedback does not make you a co-author, co-developer, joint owner, or contributor to PrompTax within the meaning of the Copyright, Designs and Patents Act 1988 or otherwise. Testing, providing bug reports, suggesting features, and giving usability feedback are not authorial contributions and do not give rise to any claim of joint ownership or joint authorship.
No compensation. You are not entitled to any equity, royalties, revenue share, credit, attribution, or any other form of compensation in connection with any Feedback you provide. Free access to the beta programme constitutes sufficient consideration for the rights granted in this section.
Moral rights waiver. To the fullest extent permitted by law, you waive all moral rights (as defined in Chapter IV of the Copyright, Designs and Patents Act 1988) in any Feedback, including the right to be identified as author (section 77) and the right to object to derogatory treatment (section 80). This waiver is made in writing in accordance with section 87 of that Act.
Unrestricted use. We are free to use, modify, incorporate, publish, or disregard any Feedback for any purpose without restriction, attribution, or compensation to you.
6. Confidentiality
Your obligations. During the beta programme and for a period of two (2) years after its conclusion, you agree to keep confidential all non-public information about PrompTax, including (without limitation) its features, functionality, pricing discussions, algorithms, methodology, user interface, and any information marked or reasonably understood to be confidential (“Confidential Information”). You may disclose Confidential Information only to employees or partners within your firm who need to know it to use the service, provided they are bound by equivalent confidentiality obligations.
Our obligations. We keep your client data and business information confidential and will only use it to provide the PrompTax service, as further detailed in our Data Processing Agreement.
Exceptions. Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party before disclosure; (c) is independently developed without reference to the Confidential Information; or (d) must be disclosed by law or regulation, provided the disclosing party is given reasonable prior notice where permitted.
7. Liability
Nothing in these terms excludes or limits our liability for:
Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Any other liability that cannot be excluded or limited under the laws of England and Wales
Subject to the above, our total liability to you for any claims arising from your use of PrompTax during the beta period is limited to £1,000. We’re a small company offering a free beta product and need to manage our risk. When we move to paid plans, this cap will be revised to reflect the fees you pay (at minimum, 125% of fees paid in the 12 months preceding a claim).
We are not liable for indirect or consequential losses, including (but not limited to) loss of profit, loss of business, HMRC penalties or interest, or damage to reputation, except to the extent that excluding such liability would be unreasonable under the Unfair Contract Terms Act 1977.
For clarity: if PrompTax produces an incorrect calculation because of a bug in our software or an error in our AI extraction that you could not reasonably have been expected to catch during verification, we accept that falls within our responsibility (subject to the cap above). We’re not trying to avoid accountability — we’re trying to set fair boundaries for a beta product.
Time limit for claims. Any claim arising under or in connection with these terms must be brought within twelve (12) months of the date on which the event giving rise to the claim occurred, or the date on which you became aware (or ought reasonably to have become aware) of the event, whichever is later. This does not affect claims for which limitation periods cannot be contractually reduced under the laws of England and Wales.
8. Your Indemnity
You agree to indemnify and hold harmless PrompTax Ltd, its founder, officers, and employees from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
your breach of these terms;
your upload of inaccurate, fraudulent, or misleading data;
your failure to verify calculations before relying on them for client work or HMRC filings;
any claim by a third party (including your clients) arising from your use of PrompTax or your reliance on its output; or
your breach of any applicable law, regulation, or professional obligation.
This indemnity does not apply to the extent that a claim arises from our negligence, wilful misconduct, or breach of these terms by us.
9. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these terms to the extent that such failure or delay results from circumstances beyond its reasonable control, including (without limitation): natural disasters, pandemics, acts of government or regulatory bodies, changes to tax legislation or HMRC guidance, failure of third-party services or infrastructure (including cloud hosting and AI providers), power outages, internet disruptions, cyberattacks, or industrial action.
If a force majeure event continues for more than 30 consecutive days, either party may terminate these terms by giving written notice to the other.
10. Payments and Billing
Payment processing. All payments for Extraction Credit Wallet top-ups are processed securely by Stripe. By making a payment, you agree to Stripe’s terms of service. We do not see or store your full card details.
VAT. AI extraction costs are stated exclusive of VAT. If VAT is applicable, it will be added at the prevailing rate and shown clearly before you confirm a top-up. We will provide a VAT receipt for all payments.
Disputed charges. If you believe an extraction charge is incorrect, please contact us at contact@promptax.com within 14 days. We’ll investigate and, if the charge was incorrect (for example, due to a failed extraction that still consumed tokens), we’ll credit your wallet accordingly.
11. Changes to These Terms
We may update these terms from time to time. If we make changes that materially affect your rights or obligations, we’ll email you at least 30 days in advance and ask you to review and accept the updated terms before they take effect. We won’t treat your continued use as acceptance of material changes — we’ll ask you directly.
For minor or administrative changes (fixing typos, clarifying wording, adding new features), we’ll update this page and note the change in version history. These take effect when posted.
12. Governing Law and Disputes
These terms are governed by the laws of England and Wales. If a dispute arises, we both agree to try to resolve it informally first by contacting each other at the email addresses associated with this agreement. If we can’t resolve it within 30 days, either of us may bring proceedings in the courts of England and Wales.
Notices. All formal notices under these terms must be sent by email: to us at contact@promptax.com, and to you at the email address registered on your PrompTax account. Notices are deemed received on the next business day after sending.
13. General
Order of precedence. These terms, together with our Privacy Notice and Data Processing Agreement (“DPA”), make up the entire agreement between us. They replace any previous terms you may have seen. If there is any conflict between documents: the DPA takes precedence on data protection matters; these Beta Terms govern all other matters.
Third-party rights. No person other than the parties to this agreement shall have any right to enforce any of its terms under the Contracts (Rights of Third Parties) Act 1999.
Severability. If any part of these terms is found to be invalid or unenforceable by a court, the remaining parts continue in full force.
No waiver. If we don’t enforce a right under these terms immediately, that doesn’t mean we’ve waived it.
Assignment. You may not assign or transfer your rights under these terms without our prior written consent. We may assign our rights to a successor entity in the event of a merger, acquisition, or sale of substantially all of our assets, provided the successor assumes our obligations under these terms.
